BUYER AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY. BY ACCEPTING AND USING THE PRODUCT REQUESTED (the “Product”) YOU AGREE TO ACCEPT THE TERMS AND CONDITIONS OF THIS AGREEMENT.

Section 1. Installation. JS MANUFACTURING, INC. (the “Company”)strongly recommends that a trained professional install the Product, including any and all components. Frequent inspections by a trained professional of the Product and any parts are recommended.

Section 2. Compliance with Applicable Laws. It is your responsibility to comply with all applicable federal, state, and municipal laws and regulations, as well as the regulations of any race sanctioning bodies before installing the Product. All products manufactured by the Company are intended for off road use only and not intended to be used on public roads.

Section 3. Disclaimer of Warranties. TO THE EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES ON THE PRODUCT, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. THE PRODUCT IS SOLD “AS IS” AND “WITH ALL FAULTS”. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PRODUCT. THE COMPANY DOES NOT WARRANT AGAINST DAMAGES OR DEFECTS ARISING OUT OF USE OF THE PRODUCTS; AGAINST DEFECTS OR DAMAGES ARISING FROM IMPROPER INSTALLATION, OR AGAINST DEFECTS IN PRODUCT OR IN COMPONENTS.

Section 5. Exclusive Remedy. The exclusive remedy for breach of this Agreement shall be, at the Company’s option, either (a) the repair or replacement of the Product; or (b) a refund of the price, if any, which you paid to purchase the Product.

Section 6. Disclaimer of Consequential Damages. UNDER NO CIRCUMSTANCES SHALL THE COMPANY BE LIABLE FOR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES WHATSOEVER ARISING OUT OF THE USE OR MISUSE OF THE PRODUCT.

Section 7. Limitation on Liability. The Company’s liability shall in no event exceed the actual price paid for the product.

Section 8. General Terms. The validity, construction, and performance of this Agreement shall be governed by the laws of the State of Indiana, and all claims and/or lawsuits in connection with the Product or Agreement must be brought in State Courts or Federal Courts physically located in Indiana. If any provision of this agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of this Agreement, which shall remain in full force and effect. No waiver of any term of this agreement shall be deemed a further or continuing waiver of such term or any other term. This agreement constitutes the entire agreement between the parties with respect to this transaction. Any changes to this agreement must be made in writing, and signed by an authorized representative.
